In consideration of being allowed to participate in hockey programming, related events and/or team activities (all, collectively and without limitation, the “Hockey Activities”) organized by National Girls Hockey League (“NGHL” or the “League”) the undersigned hockey club (“Club”) certifies, acknowledges, and agrees as follows:

TERMS AND CONDITIONS

1. TERM: This Agreement shall become effective as of the date of its execution and shall continue for a period of one year for the 2026-27 Hockey Season.  Section 5 and 6 of this Agreement, along with all unpaid payment obligations, will survive termination and expiration of this Agreement. Membership in the league shall be offered on a year-to-year basis in the sole discretion of the NGHL.

2. LEAGUE RULES: NGHL has adopted the playing rules of the NGHL (“Rules”) attached hereto as Exhibit A and incorporated by reference.  The Club acknowledges that it is bound by these rules and agrees to distribute the Rules to every player, coach, and team manager. It is intended that the player and/or coach will make known the contents of the Rules to his or her parents and spectators.

3. SCHEDULING: The NGHL requires all Members to play a minimum of three events (two regular-season events plus playoff Championships).

4. LEAGUE PAYMENTS:  NGHL shall send a single consolidated invoice for payment due from the Club based on the Club’s declarations.  It will be the Club’s sole responsibility to collect fees from the participants in its program, and the failure to collect those payments from program participants shall not excuse the Club from liability to NGHL under this Agreement.

5. USE OF CLUB’S NAME AND LOGO: Club hereby permits NGHL to use the Club’s name and logo in accordance with all the terms and conditions of this Agreement. Club agrees that this permission authorizes use of the name and logo of the Club in conjunction with the NGHL’s use and/or promotion of the League and Hockey Activities.   NGHL authorizes the Club to use the NGHL logo in conjunction with marketing the Club and its teams, provided that such marketing is tasteful and promotes the benefits of the league and the Club.  The Black Bear Sports Group logo and affiliation shall not be used by the Club or its affiliates in any fashion without prior written approval of Black Bear Sports Group.  As part of player registration, NGHL will collect waivers/consents for use of the player’s picture, likeness, and video for promotional purposes only.  Club (or its affiliates) may not profit (directly or indirectly) from the sale of any products using the NGHL logo without prior written consent of the NGHL.

6. GUARANTY OF OPERATIONS:  The Club will also agree to sign the Exhibit A entitled Guaranty of Operations.

7. INDEMNITY: Club shall indemnify, defend and hold harmless NGHL, its parents, subsidiaries and affiliates, and the respective directors, officers, agents, and employees of each from any costs, losses, liabilities, damages, lawsuits, deficiencies, claims, expenses (including costs and attorney’s fees) (including without limitation, for bodily injury, personal injury, including death at any time resulting therefrom, sustained by any person or persons or on account of damage to property, including loss of use thereof), arising out of or in consequence of (i) any negligent act or willful omission of a Club Party, its participants, coaches, employees, owners, officers, directors, or agents; (ii) any breach of any representation, warranty, or Agreement or in the inaccuracy of any material representation or warranty made by Club in or pursuant to this Agreement; and/or (iii) for any acts and omissions in the operation of Hockey Activities.  Clubs shall agree to have all players, coaches, and additional participants sign the league’s registration and waiver before league participation.

8. DISPUTE RESOLUTION/CHOICE OF LAW. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.  The arbitrator shall apply the substantive laws of the State of Delaware in all respects and notwithstanding any choice of law rules to the contrary.

9. NO ASSIGNMENT.  The Club may not assign this Agreement without the express written consent of the NGHL.

10. ENTIRE AGREEMENT.  Except as provided herein, this Agreement contains the entire agreement of the Parties as to the issues addressed herein and supersedes any previous or contemporaneous agreement or representation, whether written or oral, between the Parties.  EXCEPT AS PROVIDED, THERE ARE NO OTHER AGREEMENTS, PROMISES, OR UNDERSTANDINGS BETWEEN THE PARTIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN OF ANY NATURE OR ON ANY MATTER.

11. MODIFICATIONS.  This Agreement may not be modified or amended in any manner except by an instrument in writing executed by all of the Parties.

EXHIBIT A – GUARANTY OF OPERATIONS

PERSONAL PROMISSORY NOTE AND GUARANTY OF OPERATIONS 

For good and valuable consideration, receipt of which is hereby acknowledged, I, Club Representative, do promise to pay to the order of the NATIONAL GIRLS HOCKEY LEAGUE (“NGHL”), a division of a for-profit Delaware corporation, a principal sum determined by the NGHL to meet any financial obligations the hockey club owes due to the failure to operate and/or compete in all scheduled games during the 2026-27 NGHL season including Championship/playoffs. The principal sum determined by the NGHL shall not exceed one thousand dollars ($1,000) per active team that does not operate and/or compete following the start of the season (August 15, 2026). Per team membership pricing is based on a minimum of 3 events per team as follows:

- Red Members (14U-19U): $6,885 per team (3 events)
- Blue Members (14U-19U): $6,885 per team (3 events)
- Futures Members (10U-12U): $5,775 per team (3 events)
A 25% deposit is due at the time of signing. The remaining balance payments will be due 25% of the total in June; 25% of total in August, and the final 25% of the total by the end of September. Registrations made after payment due dates shall be accelerated to comply with the payment schedule.

Member teams’ schedules and obligations will be as follows:

• All member teams will play a minimum of 15 total games (2 showcases + Championship/playoffs). Note that the NGHL  provides more opportunities for teams to play through multiple-season events. See website for schedule and contact info@nghlhockey.com to receive member pricing on incremental events.
  - All players and coaches are required to sign the NGHL Waiver through the online portal.
  - A condition of being accepted into an NGHL event is that ALL teams (local or traveling) who require accommodation MUST book rooms through the NGHL.  No other rates (including corporate/ AAA/government rates), discounts, or hotel reward points, regardless of how acquired, will be allowed.   - All teams and levels shall play in the Championship/playoffs.
